Standard Purchase Order Clauses

When any of the following clauses are noted on the purchase order, they are to be considered a line item of the purchase order:

P.1

No verbal deviations to the purchase order are permitted. Variations require an amended purchase order.

P.2

All materials listed on the purchase order must be packaged for shipment to preclude damage in transit.

P.3

All pricing, estimates and negotiations are to be in United States currency.

P.4

WFDC is to be notified if the supplier makes any changes to the product ordered, as well as any modifications to the processes used to manufacture the product. WFDC review of these changes may reveal that they have an effect on the desired end use of the product, requiring a modification to the . (7.4.2-g)

P.5

WFDC requires the right of access to all facilities involved in the production or processing of product on the PO for WFDC personnel, WFDC customer personnel and any regulatory authorities involved in the product or process (processes). This includes verification/inspection of the requirements for the contracted component(s). (7.4.2-i; 7.4.3)

P.6

In addition to the provision set forth in the Code of Basic Working Conditions and Human Rights in the contract, Seller further commits that  any material violation of law by Seller relating to basic working conditions and human rights, including laws regarding slavery and human trafficking, applicable to Seller's performance under this Contract/ Agreement may be considered a material breach of this Contract/Agreement for which Boeing may elect to cancel any open Orders between Boeing and the Seller, for cause, in accordance with the provisions of this Contract/Agreement, or exercise any other right of Boeing for an Event of Default under this Contract/Agreement.

SELLER SHALL MAINTAIN, AND HAVE AVAILABLE ON A TIMELY BASIS, QUALITY RECORDS TRACEABLE TO THE CONFORMANCE OF PRODUCT/PART NUMBERS DELIVERED TO BOEING. SELLER SHALL MAKE SUCH RECORDS AVAILABLE TO REGULATORY AUTHORITIES AND BOEING'S AUTHORIZED REPRESENTATIVES. SELLER SHALL RETAIN SUCH RECORDS FOR CALENDAR YEAR + 10 YEARS FROM THE DATE OF SHIPMENT UNDER EACH APPLICABLE ORDER FOR ALL PRODUCT/PART NUMBERS UNLESS OTHERWISE SPECIFIED ON THE ORDER.

At the expiration of such period set forth above and prior to any disposal of records, Seller will notify WFDC of records to be disposed of and WFDC reserves the right to request delivery of such records. In the event WFDC chooses to exercise this right, Seller shall promptly deliver such records to WFDC at no additional cost on media agreed to by both parties.

P.8

Seller shall perform First Article Inspections (FAIs) in accordance with AS/EN/SJAC 9102 and unless otherwise specifically authorized in writing by WFDC, seller shall document within the Boeing licensed Net-Inspect software or provide completed AS/EN/SJAC 9102 forms.
